Terms of Service

By using Coach OS Pro ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App.

1. The App

Coach OS Pro is a fitness coaching management platform that allows coaches to manage athletes, create workout and meal plans, track progress, and log payments. The App is operated by CodeV LLC ("we", "us", "our").

2. Account Registration

• You must be at least 16 years old to create an account.
• You must provide accurate and truthful information during registration.
• You are responsible for maintaining the security of your account credentials.
• Coach accounts require identity verification (CIN, passport, or diploma). Providing false or fraudulent documents will result in permanent account termination.
• We reserve the right to approve or reject any account at our sole discretion.

3. Subscriptions & Payments to Us

• Free Plan: 1 athlete connection, all core features.
• Pro Plan ($9.99/month): Up to 10 athlete connections, no ads.
• Elite Plan ($199.99/month): Unlimited athlete connections, PDF export, priority support.
• Subscriptions are billed monthly through Apple App Store or Google Play Store.
• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
• Refunds are handled by Apple or Google according to their respective refund policies.
• We reserve the right to change subscription prices with 30 days notice.
• If your subscription expires or is cancelled, your account reverts to the Free plan. Athletes beyond the Free plan limit will no longer be able to receive new plans, but existing data is preserved.

4. Coach-Athlete Payments

• Coaches set their own prices and payment terms with their athletes.
• Athletes pay coaches directly via bank transfer (RIB/virement), cash, CashPlus, WafaCash, or any other method agreed upon between the parties.
• The App provides a payment tracking feature where either party can log and confirm payments.
• We take absolutely no commission, fee, or percentage from coach-athlete payments.

4.1 We Are NOT Responsible For:

• Athletes who fail to pay their coaches.
• Coaches who fail to provide promised services after receiving payment.
• Disputes between coaches and athletes regarding payment amounts, timing, frequency, or methods.
• Incorrect bank information (RIB) provided by coaches.
• Failed, delayed, or lost bank transfers.
• Cash payments that are disputed.
• Fraudulent payment claims or false payment receipts.
• Tax obligations arising from coaching income — coaches are solely responsible for their own tax reporting and compliance.
• Currency conversion issues or bank fees.
• Any financial loss whatsoever resulting from the coach-athlete payment relationship.

4.2 Payment Disputes

Any payment disputes between coaches and athletes must be resolved directly between the parties. Coach OS Pro will not mediate, arbitrate, or intervene in any payment dispute. We may, at our sole discretion, provide payment log records if required by law enforcement with a valid legal order.

5. Coach Responsibilities

• Coaches must hold valid certifications or qualifications for the fitness services they provide.
• Coaches are solely responsible for the safety and appropriateness of the workout and meal plans they create.
• Coaches must not provide medical advice. The App is for fitness coaching only, not medical treatment.
• Coaches must comply with all local laws and regulations regarding personal training and coaching services.
• Coaches must not create multiple accounts to circumvent subscription limits. Violation results in permanent ban and forfeiture of all subscription fees.
• Coaches are responsible for declaring and paying taxes on their coaching income.

6. Athlete Responsibilities

• Athletes use workout and meal plans at their own risk.
• Athletes should consult a medical professional before starting any fitness program.
• Athletes are responsible for paying their coach according to the agreed-upon terms.
• Athletes must not falsely report payments that were not made.

7. Health & Fitness Disclaimer

• We are not responsible for any injury, illness, or health condition resulting from following workout or meal plans created through the App.
• AI-generated plans are for informational purposes only and should be reviewed by a qualified professional.
• Supplement tracking features are for logging purposes only — we do not endorse or recommend any supplements.
• Users with pre-existing medical conditions, injuries, or those who are pregnant should consult their doctor before using any plans from the App.

8. Intellectual Property

• The App, its design, code, and branding are the property of CodeV LLC.
• Workout and meal plans created by coaches remain the intellectual property of the respective coaches.
• Users grant us a license to store and display their content (plans, photos, data) within the App for the purpose of providing our services.
• Users may not copy, distribute, or reverse-engineer the App.

9. Account Termination

We reserve the right to suspend or terminate any account at any time for:

• Violation of these Terms.
• Fraudulent activity (fake documents, false payment claims, multiple accounts).
• Abuse, harassment, or harmful behavior toward other users.
• Non-payment of subscription fees (account will be downgraded to Free plan).
• Any reason at our sole discretion with or without notice.

Upon termination, your data may be deleted after 30 days. Active subscriptions will not be refunded unless required by applicable law.

10. Limitation of Liability

• The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
• We do not guarantee uninterrupted or error-free service.
• Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for actions, omissions, or conduct of any coach or athlete using the platform.
• We are not liable for data loss due to technical failures, though we take reasonable measures to prevent it.

11. Indemnification

You agree to indemnify and hold harmless CodeV LLC, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App.
• Your violation of these Terms.
• Your violation of any third party's rights.
• Any content you create or share through the App.
• Any coach-athlete payment dispute you are involved in.

12. Governing Law

These Terms are governed by the laws of the Kingdom of Morocco. Any disputes shall be subject to the exclusive jurisdiction of the courts of Casablanca, Morocco.

13. Changes to Terms

We may update these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms. We will notify users of significant changes via the App or email.
